These Terms & Conditions apply to purchases made through the Eace online store.

Throughout these Terms, “Eace”, “we”, “us” and “our” refer to Eace ApS.

By placing an order with Eace, you agree to these Terms & Conditions.

Nothing in these Terms limits any mandatory consumer rights that apply to you under applicable law.

2. Products and product information

We aim to ensure that product descriptions, images, ingredients, quantities, nutritional information, prices and other information displayed on our website are accurate and up to date.

Minor differences in packaging, colour, appearance or presentation may occur. Packaging may also be updated without the website images being changed immediately.

If there is an obvious error in product information, pricing or availability, we reserve the right to correct the error and, where necessary, cancel the affected order.

If payment has already been collected for a cancelled order, the relevant amount will be refunded.

3. Prices, VAT and currencies

Prices are displayed in the currency indicated on the website or at checkout.

The amount payable to Eace, including applicable VAT, shipping charges and discounts collected by us, will be shown before you complete your purchase.

For deliveries outside the European Union, additional import taxes, customs duties, clearance charges or local fees may apply as described in Section 7.

Prices may change from time to time. Price changes will not normally affect orders already accepted by us, except in the case of an obvious pricing or technical error.

4. Payment

We accept the payment methods displayed at checkout.

Available payment methods may depend on the customer's country, currency, device and payment provider.

Payment information is processed securely by our payment providers.

For standard one-time purchases, payment is processed in accordance with the payment method used and applicable payment rules, normally in connection with processing or shipment of the order.

For subscriptions, recurring payments are processed according to the subscription provisions below.

If payment cannot be completed, we may contact you, retry the payment where permitted, or cancel the affected order.

5. Order confirmation and acceptance

After placing an order, you will normally receive an order confirmation by email.

Please review your confirmation and contact us as soon as possible if you notice an error.

We reserve the right to reject or cancel an order where reasonably necessary, including where:

  • a product is unavailable;

  • there is an obvious pricing, product or technical error;

  • payment cannot be authorised;

  • fraud or misuse is reasonably suspected;

  • we cannot deliver to the supplied address; or

  • fulfilment of the order would be unlawful.

If we cancel an order after payment has been collected, the relevant amount will be refunded.

6. Shipping and delivery

We deliver to the countries and regions available for selection at checkout.

Available shipping methods, carriers, delivery estimates and shipping prices depend on the destination and are displayed at checkout where applicable.

Free shipping is not guaranteed unless expressly stated at checkout or as part of a specific promotion or order threshold.

We may use different carriers depending on destination, delivery method, warehouse availability and operational requirements.

Delivery times displayed on the website or at checkout are estimates.

Delivery may take longer during product launches, promotional periods, holidays, periods of unusually high demand, carrier delays, customs processing, extreme weather, strikes, technical disruption or other circumstances outside our reasonable control.

Any mandatory statutory delivery rights remain unaffected.

7. International deliveries, customs and import charges

Eace ships to both EU and non-EU countries where the relevant destination is available at checkout.

Available products, delivery methods, shipping prices and delivery times may differ depending on the destination.

Deliveries within the European Union

Applicable VAT is handled in accordance with applicable EU VAT rules and reflected in the price or checkout as relevant.

Deliveries outside the European Union

Orders delivered outside the European Union may be subject to:

  • import VAT;

  • customs duties;

  • customs clearance charges;

  • carrier or brokerage fees;

  • local taxes; or

  • other charges imposed by the destination country.

Unless expressly stated at checkout that such charges are included, they are not included in the amount paid to Eace and are the customer's responsibility.

Eace does not control these charges and cannot guarantee their amount.

We recommend checking local import requirements and potential charges before ordering.

International shipments may also be subject to inspection and clearance by local customs authorities, which may cause delays outside Eace's reasonable control.

Customers are responsible for providing information reasonably required by carriers or customs authorities to complete import clearance.

If a shipment cannot be delivered because the customer refuses to pay applicable import charges, does not provide information required for customs clearance, refuses the shipment or otherwise prevents completion of the import process, the shipment may be returned to Eace.

Where legally permitted, reasonable shipping, return, customs or handling costs incurred as a direct result may be deducted from any refund.

Customers are responsible for ensuring that products ordered may legally be imported into the destination country.

We may refuse or cancel an order where we become aware that shipment of the relevant product to the destination would be unlawful or prohibited.

If we cancel an order for this reason before shipment, amounts already collected for the affected products will be refunded.

8. Delivery information and uncollected parcels

You are responsible for providing complete and accurate delivery information.

Please contact us as soon as possible if you notice an error.

We cannot guarantee that delivery details can be changed after an order has entered processing.

If a parcel is returned because an incorrect or incomplete address was provided, delivery was refused, the parcel was not collected within the carrier's collection period or delivery could not be completed for reasons attributable to the customer, we may deduct reasonable direct return costs from any refund where legally permitted.

If you would like the order resent, new shipping costs may apply.

9. Risk during delivery

Eace remains responsible for the shipment in accordance with applicable consumer law until the goods have been delivered to you or another person designated by you, except where you independently arrange a carrier not offered by Eace.

If a shipment appears to be lost or damaged in transit, please contact us so that we can investigate.

10. Right of withdrawal

If you are a consumer purchasing online and your purchase is covered by a statutory right of withdrawal, you generally have 14 days from the date you receive the goods to notify us that you wish to withdraw from the purchase.

To exercise your right of withdrawal, send us a clear statement at:

Please include your order number where possible.

You do not need to provide a reason.

After notifying us, the goods must be returned without undue delay and within the applicable statutory return period.

Exceptions

The statutory right of withdrawal does not apply where an applicable legal exemption exists.

This may include:

  • goods manufactured to the customer's specifications or clearly personalised;

  • certain goods that deteriorate or expire rapidly;

  • certain sealed goods unsuitable for return for health-protection or hygiene reasons where the seal has been broken after delivery; and

  • other products excluded under applicable consumer law.

As Eace sells consumable products, food supplements and similar products, certain opened or unsealed products may fall within these exemptions.

Where an exemption applies, the product cannot be returned under the statutory right of withdrawal once the relevant seal or protective packaging has been broken.

Your statutory rights concerning defective, damaged or incorrect goods remain unaffected.

11. Condition of returned goods

Where the statutory right of withdrawal applies, you may inspect the goods to the extent reasonably necessary to establish their nature, characteristics and functioning.

If you handle the goods beyond what is reasonably necessary and this results in diminished value, you may be responsible for that reduction in value where permitted by law.

We recommend keeping original packaging, labels and accompanying material until you have decided whether to keep the product.

12. Returns

Unless otherwise stated by Eace or required by law, the customer is responsible for the direct cost of returning products when exercising the right of withdrawal.

Returns must be sent to the return address provided by Eace.

Do not send returns to a parcel shop, collection point or similar location unless specifically instructed by Eace.

Returned products must be securely packaged.

We recommend using tracked shipping and keeping proof of shipment.

We do not accept parcels sent cash on delivery.

13. Refunds

Where you validly exercise a statutory right of withdrawal, we will refund amounts due in accordance with applicable consumer law.

Refunds will normally be made using the same payment method used for the original transaction unless another method has been expressly agreed.

Where required by law, refunds will include the standard outbound delivery cost paid on the original order.

If you selected a delivery option more expensive than our standard option, any additional premium delivery cost may not be refundable where permitted by law.

We may withhold the refund until we receive the returned products or you provide adequate evidence that they have been sent back, where legally permitted.

If only part of an order is returned, original shipping costs may not be refundable.

Any deduction for diminished value will only be made where permitted by law.

14. Incorrect, damaged or defective products

If you receive an incorrect product, a damaged product, a product with a manufacturing defect, an incomplete order or a product that otherwise does not conform to the purchase agreement, please contact us as soon as reasonably possible at:

Please include your order number, a description of the issue and relevant photographs where appropriate.

We will assess the matter and provide an appropriate remedy in accordance with applicable consumer law.

Where a complaint is justified, Eace will cover reasonable return shipping costs where required by law.

15. Statutory complaint rights

Consumers are protected by statutory rules concerning defects and lack of conformity.

For purchases governed by Danish consumer law, this generally includes a two-year statutory complaint period for goods.

This statutory complaint right is not the same as a separate commercial warranty or guarantee offered by Eace.

Damage caused solely by misuse, inappropriate storage, accident, normal deterioration or circumstances arising after delivery may not constitute a covered defect.

You should contact us within a reasonable period after discovering a defect.

Any mandatory consumer protections applicable in your country of residence remain unaffected.

Subscriptions

16. Subscription terms

These provisions apply in addition to the rest of these Terms whenever you purchase an Eace subscription.

The applicable product, quantity, price, discount, delivery frequency and next scheduled order or renewal date will be displayed when you subscribe and, where available, through your subscription account.

17. Automatic renewal

Subscriptions continue automatically at the selected frequency until cancelled.

By starting a subscription, you authorise Eace and our subscription and payment providers to charge the payment method connected to your subscription for future recurring orders.

Each recurring order is a separate purchase under the ongoing subscription agreement.

18. Subscription pricing and discounts

The applicable subscription price is shown before purchase.

Subscription prices or discounts may differ from one-time purchases.

Promotional discounts may apply only to the first subscription order, a specified number of orders or the period stated in the promotion.

Unless explicitly stated otherwise, a promotional code does not provide a permanent right to the promotional price.

19. Managing a subscription

Where supported by our subscription system, you may be able to:

  • change delivery frequency;

  • skip an upcoming order;

  • change eligible products or quantities;

  • update your delivery address;

  • update payment information;

  • pause the subscription; or

  • cancel the subscription.

Available functionality may differ between subscriptions.

Changes generally apply only to future orders that have not yet entered processing.

20. Subscription payments

Recurring payments are charged to the payment method associated with your subscription in connection with each scheduled recurring order.

The exact processing date may vary slightly due to weekends, holidays, payment processing or operational factors.

You are responsible for keeping payment details current.

21. Failed subscription payments

If a recurring payment fails, Eace or our subscription/payment provider may retry the payment, request updated payment information, postpone shipment or suspend or cancel the subscription if payment cannot be completed.

Shipment is not guaranteed until applicable payment requirements have been satisfied.

22. Cancelling a subscription

Unless expressly stated otherwise for a specific subscription, Eace subscriptions have no fixed minimum commitment period.

Subscriptions can be cancelled through available subscription-management functionality or by contacting:

Cancellation applies to future recurring orders.

A cancellation or change must be made before the relevant recurring order has entered processing.

Once an order has entered processing, fulfilment or shipment, we may no longer be able to cancel that particular order.

Any applicable statutory withdrawal rights concerning the resulting order remain unaffected.

23. Subscription price and terms changes

We may change subscription prices or terms from time to time.

Material changes that disadvantage an existing subscriber, including recurring price increases, will be communicated in advance where required by law and with a reasonable notice period.

You may cancel your subscription before such a change takes effect if you do not wish to continue.

24. Ending or suspending subscriptions

We may suspend or terminate a subscription where reasonably necessary, including where recurring payments repeatedly fail, fraud or misuse is suspected, a subscribed product is discontinued, we can no longer deliver to the relevant destination or continuation of the subscription would be unlawful.

25. Subscription communications

To administer subscriptions, we may send necessary service communications concerning upcoming orders, payments, failed payments, shipping, subscription changes, product availability, account security and material changes to the subscription.

These messages are separate from marketing.

Starting a subscription does not by itself constitute consent to receive general promotional emails, SMS marketing or marketing telephone calls.

Marketing communications are governed by separate consent choices and applicable law.

Promotions

26. Discounts and promotions

Discount codes, campaign prices, personal codes, free gifts, launch offers, referral offers and similar promotions may have additional conditions stated in the relevant offer.

Unless otherwise stated:

  • discounts cannot be exchanged for cash;

  • discounts apply only during the applicable period;

  • multiple discounts may not necessarily be combined;

  • some products, bundles or subscriptions may be excluded;

  • minimum order values may apply; and

  • promotional gifts are subject to availability.

If a discount is obtained or used through obvious error, fraud or abuse, we may cancel the discount or affected order where legally permitted.

27. Free gifts

Where a free gift is conditional on a minimum order value, it forms part of the promotional order.

If products are returned and the remaining order no longer meets the conditions of the offer, we may require the promotional gift to be returned or deduct its stated value from the refund where legally permitted and where the condition was clearly disclosed.

General Terms

28. Product availability

All orders are subject to availability.

Adding a product to your basket does not reserve inventory.

If a product becomes unavailable after ordering, we may contact you regarding an alternative, remove and refund the unavailable product or cancel and refund the affected order.

We will not substitute a materially different product without your agreement.

29. Events outside our reasonable control

Eace is not responsible for delays or inability to perform obligations caused by circumstances outside our reasonable control, to the extent permitted by law.

This may include transport disruption, strikes, natural disasters, epidemics, government measures, customs disruption, war or civil disturbance, interruptions of utilities, internet or payment-network failures and major supplier disruption.

This does not limit rights that cannot legally be excluded.

30. Liability

Nothing in these Terms excludes or limits liability where such exclusion or limitation would be unlawful.

To the extent permitted by law, Eace is not responsible for indirect or consequential losses that were not reasonably foreseeable when the purchase agreement was entered into.

Nothing in these Terms affects mandatory consumer rights.

31. Personal information

We process personal information in connection with orders, customer service, subscriptions, payments, fraud prevention and operation of the website.

32. Cookies and similar technologies

Our website uses cookies and similar technologies.

Where required, non-essential cookies and tracking technologies are used in accordance with choices made through our cookie-consent system.

Further information is available in our Cookie Policy and cookie settings.

33. Marketing communications

Marketing emails, promotional SMS messages and similar direct marketing are sent in accordance with applicable marketing and privacy legislation.

Where consent is required, you may withdraw that consent at any time using the unsubscribe mechanism in the relevant communication or available preference settings.

Withdrawal of marketing consent does not prevent us from sending necessary transactional or service communications relating to orders, subscriptions or your account.

We will first attempt to resolve the issue directly with you.

Where applicable, unresolved complaints may be submitted to the relevant Danish approved consumer complaints body or the Danish consumer complaints system.

Consumers residing in another EU/EEA country may also be able to obtain assistance through their local European Consumer Centre.

35. Governing law

These Terms and purchases from Eace are governed by Danish law.

If you are a consumer residing in another country, this choice of law does not deprive you of mandatory consumer protections that apply under laws that cannot contractually be excluded.

Nothing in these Terms limits a consumer's mandatory right to bring proceedings before a competent court.

36. Changes to these Terms

We may update these Terms from time to time, including due to changes to our business, new products or services, shipping or payment changes, subscription functionality or changes in applicable law.

For one-time orders, the version in effect at the time of purchase will normally apply.

For ongoing subscriptions, material changes will be communicated where required by law.

37. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in effect to the extent permitted by law.
